Government Contracts: Alert - November 12, 2009

On November 30, 2009, the Supreme Court will hear oral argument in Graham County Soil & Water Conservation District v. United States ex rel. Wilson, a qui tam action brought under the False Claims Act (FCA) and appealed from a Fourth Circuit decision. The Court will use the case to resolve a split among the circuits over the scope of the FCA's "public disclosure" bar. A decision affirming the Fourth Circuit could increase qui tam litigation against any organization that does business with, or receives federal money through, federal, state and local governmental entities – and would further expand the reach of the FCA to any state or local program involving the use of federal funds.

There has been considerable debate on Capitol Hill this year over the taxation of a Carried Interest in the context of a Private Equity Fund (PEF). At the same time, there has been public discussion of the role that the private equity industry will have in our economic recovery. In the realm of estate planning, PEF Principals possess unique opportunities to shift the performance of their interest in a PEF to future generations – potentially resulting in very significant estate tax savings. This article will review the basic PEF structure, describe the nature of a Principal’s interest in a PEF and indentify wealth transfer techniques that should be considered by a Principal.

We are pleased to report that in Chambers USA 2008 guide, which rates U.S. law firms’ practices, Holland & Knight received a No. 1 ranking for our aviation litigation practice and our aviation regulation practice, and our aircraft finance practice was rated second to only one other firm. Individual Holland & Knight partners also received a No. 1 ranking by Chambers USA. Cumulatively, Holland & Knight received a higher total rating in all three aviation practice areas than any other U.S. law firm.

Chambers USA addresses the aviation practices in its Transportation section, and that section also named Holland & Knight as one of five firms with the experience to handle multi-modal transportation matters.
And earlier this year, based on a worldwide survey of in-house counsel and senior practitioners, the Euromoney Legal Media Group 2008 Guide to the World’s Leading Aviation Lawyers named nine Holland & Knight partners – more than any other U.S. law firm.

Seminars and Conferences

Anita Mosner will be speaking at the ABA Forum on Air & Space Law Conference in Montreal, September 18-19, 2008, on the recent passenger rights initiatives. She is also speaking at the ATLA Aviation Law Americas Seminar in Miami, September 11-12, on legal and finance issues facing the aviation industry.

Phillip Durham recently spoke at the ABA Aircraft Financing Subcommittee 2008 Annual Meeting in New York, August 9, 2008, on issues relating to the treatment of assignments and novations under the Cape Town Convention.

David Harrington is a partner in the New York Litigation Practice Group. Due to Mr. Harrington’s unique experience as a former U.S. Navy carrier-based aviator, his practice is primarily focused on aviation law, including accident investigation and litigation, although he is well versed in handling all types of complex civil litigation, including multi-district mass tort and product liability litigation.


Christopher G. Kelly is the Litigation Practice Group Leader for the 30 member Litigation Group in New York. Mr. Kelly’s practice focuses primarily on the defense of mass torts, toxic torts, federal and state court class actions (consumer, labor and privacy), contracts, product liability, and insurance coverage disputes. Mr. Kelly has represented aviation clients including BAE, Air France, Varig, and JetBlue Airways. He was lead trial counsel to JetBlue on its nationwide privacy class action litigations, and has represented clients across the country as lead and trial counsel in class actions in state and federal courts, stemming from West Nile virus spraying, Medfly control, and overtime wage claims. He has negotiated long term multi million dollar leases on behalf of marine terminal tenants, and has successfully prosecuted and defended actions in state and federal courts throughout the United States in matters dealing with bank fraud, shareholder disputes, distribution agreements, unfair competition, fraud, trademark and copyright infringement, interference with contracts, marketing practices, product liability, rights of secured and unsecured creditors, bankruptcies, destruction of natural resources, and serious personal injury.


Judith (Judy) R. Nemsick practices in the New York Litigation Practice Group. Her areas of practice primarily involve aviation, mass disasters, product liability and privacy rights. Ms. Nemsick has extensive experience with complex aviation disaster litigation, having represented air carriers in multidistrict litigation arising from, for example, the Aviateca Flight 901 accident near San Salvador, El Salvador; the Swissair Flight 111 accident near Peggy’s Cove, Nova Scotia; and the American Airlines Flight 587 accident near Belle Harbor, New York. She has extensive experience litigating claims governed by the Warsaw and Montreal Conventions, and served as one of the lead appellate attorneys in El Al Israel Airlines, Ltd. v. Tseng, 525 U.S. 155 (1999).
