Overview

George J. Gregores is a partner in Holland & Knight's Portland office. Mr. Gregores represents clients on business, real estate, financing and commercial matters, including the operation, management and structure of their business, as well as mergers, acquisitions and divestiture opportunities.

Mr. Gregores' practice has a niche focus on golf course operations, acquisition, development and finance, the negotiation and documentation of golf course design and management agreements, hotel use and access agreements, and private club membership plans.

Before entering private practice in 1978, Mr. Gregores was a staff attorney with the Federal Trade Commission (FTC) in the Los Angeles regional office from 1973-1975 and the San Francisco regional office from 1975-1978.

Representative Experience

  • Handled the sale of 100 percent of the equity interests of OB Sports LLC, a Delaware entity, to Troon Golf of Scottsdale, Arizona
  • Handled the sale of Boca Lago Country Club in Boca Raton, Florida, to a private investor, as well as the restructure of the club membership from equity to non-equity
  • Handled the sale of Lago Mar Golf & Country Club in Ft. Lauderdale, Florida, and the termination of the existing equity membership structure in exchange for a non-equity membership structure and other consideration
  • Represented a membership group in negotiations with the owner of May River Golf Club in Palmetto Bluff, South Carolina
  • Represented equity partners in the sale of their equity interest in Pumpkin Ridge Golf Club in Portland, Oregon, to Escalante Golf
  • Negotiated the acquisition of the Langdon Farms Golf Club; organized and represented the entity that developed, owned and operated the golf course facility, a $10.5 million project, until its sale in December 2000; currently representing new owner
  • Involved in the original assembly of the land upon which The Reserve Golf Club facility was created; represented the management company in negotiating and documenting the golf course construction consulting, technical services and management agreement; drafted the initial membership plan
  • Coordinated all legal matters relating to the development and construction of the Washington National Golf Club facility; negotiated and closed the $9 million credit facility for the project with Textron Financial Corp.; prepared and submitted the liquor license application to the state of Washington; drafted and negotiated the golf course access agreement with the University of Washington
  • Negotiated and documented the acquisition of the Trophy Lake Golf Club property from the previous owner, Tallamach LLC; coordinated the legal issues related to the development and construction of the $10 million golf course facility; negotiated and closed the financing of a $4.5 million credit facility with Textron Financial Corp.; prepared and submitted liquor license application to the state of Washington
  • Represented the purchaser of the Revere Golf Club in Henderson, Nevada, from Troon Revere Holdings in a $28 million acquisition
  • Involved in the negotiation and acquisition of the real property for the Cimarron Golf Club in Cathedral City, California, from its owner, Royal Mirage Partners LP; drafted and negotiated the development agreement for the $20 million golf course project and the license agreement providing golf course access to the timeshare purchasers; negotiated and closed a $9 million credit facility for the project with Textron Financial Corp.; prepared and submitted the facility liquor license application to the state of California; represented the owner in its sale of the single-purpose entity that owned the golf course property to Mega Financial Corp. in September 2002

  • Represented John Fought Design in a number of design projects throughout the U.S., including the drafting and negotiation of design agreements
  • Represented the owner in the negotiation of the development services and operating management agreement for the Le Paradis Golf Club in St. Lucia, West Indies, with Troon Golf
  • Represented the owner in the negotiation of the golf course management agreement at Quarry Hills Golf Club in Boston
  • Drafted, negotiated and documented management and consulting agreements for golf course facilities throughout the United States

  • Represented the tenant in the negotiation and documentation of the golf facilities lease for Bonaventure Golf Club in Westin, Florida
  • Represented the tenant in the drafting and negotiation of the golf facilities lease for Hunter's Creek Golf Course in Orlando, Florida
  • Represented the tenant in the negotiation and documentation of the long term lease of the 45-hole Chuck Corica Golf Course Complex in Alameda, California

  • Represented Royal Island Golf Club in the use and access agreement with Montage Hotels
  • Represented Intercontinental Hotels in the negotiation of the use and access rights to the Golf Club at Cayo Largo, Commonwealth of Puerto Rico
  • Represented Fairmont Hotels in the negotiation of the use, access and easement agreement with Tamarack LLC involving the Club at Tamarack in Donnelly, Idaho

  • Advised Boca Lago Country Club in Boca Raton, Florida, regarding membership plan documents
  • Revised membership plan documents for Grasslands Golf Club in Lakeland, Florida
  • Represented Cypress Equities in the negotiation of the license agreement and club associate program agreement for Royal Island Golf Club with the Jack Nicklaus Golf Club LLC, the first internationally participating club in the Nicklaus Associate Club Program

  • Golf Course Financing: Represented Metropolitan Mortgage in connection with a $25 million financing of the Teton Springs Golf & Casting Club in Driggs, Idaho, a $22 million financing of the Flagstaff Ranch Golf Club in Flagstaff, Arizona, and a $14.5 million credit facility for Marshall's Vista Golf Course Development in Austin, Texas
  • Golf Agreements: Represented Jeff Sanders Promotions (JSP) in the negotiation and documentation of professional golf tournament agreements with the United States Golf Association (USGA), PGA Tour, Ben Hogan Tour, Nike Tour and Nationwide Tour (1996 U.S. Amateur, 1997 U.S. Women's Open, Boise Open, Northwest Open); negotiated course rental agreements with a number of golf course facilities that have staged events marketed and produced by JSP
  • Golf Club Tax Appeal: Represented Columbia Edgewater Country Club in its property tax appeal to Multnomah County, Oregon, resulting in a reduction of fair market value of the golf course facility from $6.5 million to $2.8 million
  • Golf Course – Hotel Access Agreements: Represented Dominicana Corporation in the use and access agreement for the Roco Ki Club in the Dominican Republic
  • Golf Course – Hotel Access Agreements: Represented DCG Properties in the negotiation of the easement, access and use agreement with Starwood/Westin for the Le Paradis Golf Club in St. Lucia
