We advise on public and private securities offerings, corporate acquisitions, dispositions, mergers, reorganizations, syndication and finance, asset acquisitions and dispositions, venture capital investments, shareholder agreements, operating agreements, partnership agreements and employment agreements. We also counsel on complex real estate transactions, including master-planned communities, condominium, mixed-use and resort developments, as well as related environmental, safety and health matters. Our private wealth services team regularly assists with the drafting and administration of complex estates and trusts; advises private clients regarding the formation and administration of exempt organizations, including related tax law considerations; and provides counsel regarding trust and estate administration, as well as any related fiduciary litigation.
