Corporate Transparency Act: Reporting is Back On

On February 17, 2025, the U.S. District Court for the Eastern District of Texas lifted the injunction on the CTA reporting requirements. As a result, the nationwide injunction that prohibited enforcement of the CTA's beneficial ownership information (BOI) reporting rules no longer applies and companies must resume reporting.

The U.S. Department of the Treasury's Financial Crimes Enforcement Network (FinCEN) announced on February 19 that the deadline for the vast majority of reporting companies to file an initial, updated and/or corrected BOI report would be extended by 30 days, making the new due date for most reporting companies March 21, 2025.

During this 30-day period, FinCEN will assess options to further modify deadlines for lower-risk entities while prioritizing reporting for those entities that pose the most significant national security risks. FinCEN also will consider additional revisions to the BOI reporting rules during 2025 to reduce burdens for lower-risk entities.

Our panelists will discuss these developments, as well as others in court cases and in Congress. Sufficient time will be allotted for questions from attendees.
