Overview

Alexis R. Alonzo is a real estate and equine law attorney in Holland & Knight's Century City and Los Angeles offices. Ms. Alonzo's real estate practice focuses on complex real estate transactions, with an emphasis on homebuilder finance (land banking), joint ventures, and the acquisition, disposition and financing of multifamily and student housing as well as other classes of commercial real estate.

Ms. Alonzo represents some of the country's preeminent private equity funds in the land banking of residential communities throughout the United States for the top public and private homebuilders. She also represents these clients in the financing of their land banking platforms.

Additionally, Ms. Alonzo's practice includes negotiating and drafting joint venture agreements, preferred equity agreements, purchase and sale agreements, and loan documents for various types of assets.

Ms. Alonzo previously worked as general counsel for a privately held commercial real estate company and was an in-house counsel secondee for a large institutional investor.

Representative Experience

  • Represented the seller in the sale of 100 percent of the membership interests in entities owning several student housing apartment complexes in the southeastern United States, including preferred equity seller financing
  • Represented the buyer in the purchase of 100 percent of the membership interests in a real estate investment trust (REIT) that owns a large technology-focused office campus in Sunnyvale, California
  • Represented a public homebuilder in the acquisition of land for entitlement, development and construction throughout Northern California
  • Represented an institutional investor in the sales of retail properties within a client's mixed-use office, hotel and retail development in Orange County, California
  • Represented an institutional investor in the sales of several large triple net (NNN) office buildings in Arizona
  • Coordinated all aspects of real estate due diligence review for the acquisition of a $1.1 billion portfolio of industrial warehouses located in the central U.S.

  • Representing a private equity fund in its finished-lot and development land banking of residential developments throughout the United States for a top public homebuilder
  • Representing a private equity fund in the negotiation of a bespoke platform land banking venture, representing $550 million of committed capital, for a top public homebuilder, and the financing of this platform
  • Representing a joint venture between an institutional real estate investor and a land banker in the acquisition, financing and development of more than $1 billion worth of residential land for top public and private homebuilders
  • Representing a joint venture in obtaining a revolving line of credit facilities for a client's land banking platform
  • Represented a private debt lender in the origination of a $70 million construction loan to finance two Los Angeles condominium developments

  • Represented an institutional real estate investor in the formation of multiple joint ventures focused on the acquisition of land for residential development throughout the U.S., and represented the joint venture in the corresponding land and entity acquisitions and dispositions
  • Represented an institutional real estate investor in negotiating development management agreements with a local operator for four large residential and golf course developments located in the southeastern U.S.
  • Represented a privately held real estate company in a joint venture with an institutional investor to recapitalize a trophy office building
  • Represented a privately held commercial real estate company in the formation of a multitier joint venture to acquire parking properties throughout the southwestern U.S., and represented the joint venture in acquiring and financing parking properties

  • Represented a buyer in the acquisition of a top show jumper
  • Represented lessors and lessees in the drafting of equine lease agreements for hunters and jumpers, including a nationally ranked division pony
