Overview

Jonetta Brooks is a real estate attorney in Holland & Knight's Dallas office, where her practice focuses on commercial leasing and asset management matters. Ms. Brooks counsels special servicers, pension fund advisors, real estate investment trusts (REITs) and corporate and other institutional property owners, together with receivers, bankruptcy trustees, developers and small business owners, in all aspects of real estate transactions, including without limitation, asset management matters, property acquisition and disposition, sale/leaseback, foreclosure and commercial leasing.

Ms. Brooks has more than 36 years of experience representing a diverse mix of national and regional landlords and tenants in leases and other real property matters across the country involving shopping centers, malls, office and industrial buildings, and build-to-suit properties.

Prior to joining Holland & Knight, Ms. Brooks was a partner in the Dallas office of a prominent global law firm. Ms. Brooks also served as regional counsel for a REIT, where she was responsible for leasing functions and other ownership matters related to a large portfolio of office properties, and worked in-house for a pension fund advisor handling property acquisition matters.

Representative Experience

  • Representation of special servicers on a national basis in all aspects of real estate, including foreclosure, negotiation of easements, property management agreements, lease listing agreements, and sales listing agreements; sale of hotels, office buildings, apartments, shopping centers and related sales matters 
  • Handling of leasing and asset management matters for special servicers, including the negotiation of leases, license agreements, nondisturbance agreements and landlord waivers; preparation of tenant default letters and enforcement of tenant default remedies; as well as the preparation of form documents for the foregoing sale, leasing and asset management matters

  • Representation of multiple pension fund advisors on a national basis relating to property acquisition and sales, and the leasing of office, retail, industrial and flex building properties; negotiation of asset management and lease listing agreements, together with handling day-to-day asset management functions, including the negotiation of easements and license agreements and tenant default matters; and preparation of standard form agreements of all types, including leases, fallback books, property management agreements, access agreements and licenses

  • Representation of an office REIT as regional counsel, responsible for hundreds of thousands of square feet of first-class office space for leasing, asset management, tenant default and related litigation matters
  • Representation of a REIT in the negotiation of information technology agreements

  • Representation of a developer relating to the leasing of a 350,000-square-foot retail, 320,000-square-foot office and 1,100-unit residential development

  • Representation of a global company in connection with the sale of industrial plants in a multistate transaction, including the negotiation of a ground lease of a retained asset
  • Representation of an investment management firm in the negotiation of a headquarters lease and subsequent leasing matters
  • Representation of a national chemical company, a national media company and a Texas media company in connection with multiple property matters
  • Representation of a tollway authority in connection with the acquisition of real property and related matters
  • Representation of an industrial company in connection with a sale lease-back transaction

  • Representation of multiple receivers in connection with the negotiation of retail leases
  • Representation of a bankruptcy trustee in the sale of multiple industrial properties
  • Representation of multiple shopping center developers in connection with property acquisition and leasing matters
