Overview
Jasmine Chean is a litigation attorney in Holland & Knight's New York office, where she focuses her practice on commercial and real estate litigation, government investigations and enforcement actions, and internal investigations.
Ms. Chean has guided individual and institutional clients through investigations and litigations involving allegations of market manipulation, disclosure violations, fraud and collusion. In addition, she has a significant background in contract disputes, business torts, business breakups, partnership and membership disputes, director and officer liability, and indemnification matters. Her general litigation experience includes drafting pleadings, motion practice, discovery management, trial management, appeals, settlement negotiations and alternative dispute resolutions.
Ms. Chean's notable experiences include:
- representing a former chief executive officer (CEO) of a publicly traded nanotechnology company in a U.S. Securities and Exchange Commission (SEC) enforcement action alleging collusion, market manipulation and fraud
- representing a foreign publicly traded media company against shareholder securities action alleging disclosure violations and misleading securities offerings
- advising the special committee of a publicly traded outdoor products company in an internal investigation involving claims of internal governance and ethics code violations, breaches of fiduciary duties and breaches of the company bylaws
- advising the special committee of a medical service provider company in an internal investigation involving claims of accounting fraud and sexual harassment
- representing a consumer goods manufacturer in litigation involving claims of economic duress, breach of manufacturing agreement and breach of the covenant of good faith and fair dealing
- representing a former CEO of a media company in litigation involving claims of employment discrimination and aiding and abetting sexual misconduct
- representing a CEO and broadcasting company in litigation involving claims of tortious interference with prospective economic advantage and breach of licensing agreement
- representing executives of a medical service provider company in litigation involving claims of indemnification and breach of the earnout provision of a merger agreement
- representing a system software company in litigation involving claims of breach of purchase and acquisition agreement, fraudulent inducement and unjust enrichment
- representing an heiress to a real estate conglomerate in disputes over membership and management rights
- representing a minority member of a real estate limited liability company in litigation involving claims of breach of operating agreement, breach of fiduciary duties, accounting and conversion
Within the firm, Ms. Chean serves as the co-chair of the Women's Initiative for the New York office.
Prior to joining Holland & Knight, Ms. Chean served as a judicial law clerk in the U.S. District Court for the Eastern District of New York.
While in law school, Ms. Chean was a senior notes editor for the Fordham Journal of Corporate and Financial Law, an associate editor of the Fordham Law Moot Court Board, and a competitor of the Fordham Law Dispute Resolution Society. She was also part of the Consumer Litigation Clinic and a volunteer lawyer in the New York City Civil Court, where she represented clients in cases against creditors engaging in deceptive, unfair or abusive practices.
