Overview

Fred Fulton is a corporate attorney in Holland & Knight's Dallas office. Mr. Fulton focuses his practice on the representation of public and private retail and distribution companies in connection with such general corporate matters as corporate governance, disclosure, and contract negotiation.

Mr. Fulton also represents purchasers and sellers in the oil and gas and oilfield services industries as well as companies in numerous other industries in mergers and acquisitions (M&A), including transactions involving more than $400 million.

 

Representative Experience

  • Represented a consumer finance company engaged in originating and holding for investment automobile finance receivables and promissory notes in its $100 million all-cash merger with an affiliate of a New York-based private equity firm investing in the financial services sector; transaction was the result of a competitive bidding process
  • Represented a Canadian consumer electronics retailer in connection with its $284 million acquisition by an American consumer electronics retail company in a cash tender offer and merger
  • Represented the purchaser, an NYSE-listed company, in a $210 million acquisition of stock of a national retailer with more than 100 locations in the United States and Canada
  • Represented the purchaser, an NYSE-listed company, in a $450 million acquisition of stock of an oil and gas exploration and development company

  • Represented the seller, a national retailer, in a $105 million sale of a call center subsidiary
  • Represented a Texas-based food production company in its $39 million sale to another food manufacturer

  • Represented a company that manufactures and imports artificial floral products from Hong Kong and China in its initial public offering (IPO), Securities Exchange Act reporting, acquisitions, employee benefits, intellectual property (IP), litigation and general corporate matters
  • Represented a retailer and reseller of personal computers, consumer electronics, technology products and computer services in public offerings of equity and debt securities, acquisitions and Securities Exchange Act reporting as well as IP, employee benefits, litigation and general corporate matters
  • Represented a privately-held chain of American and Canadian arts and crafts stores in its IPO and follow-on public offerings of equity and debt securities, Securities Exchange Act reporting, acquisitions, employee benefits, IP and general corporate matters
  • Represented underwriters in the IPO of a Dallas-based chain of traditional, high-end classic styled ladies and men's specialty apparel stores
  • Represented a Texas-based chain of independent garden centers as special counsel for the company in its IPO
  • Represented an arts and crafts retailer in its IPO and follow-on public offering of equity securities, acquisitions, Securities Exchange Act reporting, employee benefits, IP and general corporate matters

  • Represented the parent company of a North American chain of arts and crafts stores in its $150 million purchase through its subsidiary of 100 percent of the equity of an international wholesaler and retail supplier of arts and crafts, as well as a retailer of toys, games, hobby and craft kits and an online craft store
  • Represented a national retailer in a private placement of $125 million in equity securities
  • Represented a Canadian consumer electronics retailer in corporate governance, Securities Exchange Act reporting, intellectual property (IP), employee benefits and general corporate matters
  • Represented an American furniture and home accessories retailer in corporate governance, Securities Exchange Act reporting, employee benefits and general corporate matters
  • Represented a western-wear retailer in tax planning and IP matters
  • Represented an operator of 60 retail nursery outlets in California, Texas and Arizona in equity and debt financings, acquisitions, Securities Exchange Act reporting, employee benefits, IP and general corporate matters
