Overview
Ted Habermann is a business franchise and distribution attorney in Holland & Knight's Nashville office. For nearly 40 years, Mr. Habermann has advised franchisors, from startups to mature companies, on a broad spectrum of transaction and regulatory issues across a wide range of industries, which include foodservice, hospitality, fitness, retail and consumer services.
Mr. Habermann assists clients with their contracts and legal compliance, including preparing franchise disclosure documents, franchise and distribution agreements, state registration filings, franchise administration and compliance with franchise sales and relationship laws.
Mr. Habermann also counsels franchise systems on a broad array of operating issues ranging from contract enforcement to trademark protection, relationship disputes, terminations and transfers, implementation of systemwide changes, conversion of company-owned to franchised locations, and responding to state and federal administrative inquiries and investigations.
For more than two decades, Mr. Habermann served as in-house counsel for two national restaurant chains in the family dining and fast casual restaurant industry, and as general counsel for a national provider of fire and water restoration services.
In addition, Mr. Habermann's experience includes sponsorship agreements, sweepstakes and promotions, venue facility agreements, entertainer endorsements, sales and marketing arrangements.
