Overview

Edward "Ted" Hickey is the practice group leader of the Tax Credit Transactions Practice and an attorney in the firm's Boston office. The Tax Credit Transactions Practice has more than 50 lawyers in multiple offices around the firm working on transactions involving various tax credits and other tax-advantaged investments. 

Mr. Hickey's practice emphasizes structuring and bringing closure to syndicated real estate transactions that qualify for the low-income housing and/or the historic rehabilitation tax credit. His in-depth background spans a variety of complex transaction structures, including multiple-source financing, credit enhancements, syndications, financial guarantees, derivative swaps, dispositions, secondary market portfolio acquisitions, partnership interest transfers and workouts.

Historic Rehabilitation Tax Credit Transactions

Mr. Hickey has practiced at the forefront of the rapidly changing historic rehabilitation tax credit industry. In the aftermath of the Third Circuit Court of Appeals decision in the Historic Boardwalk Hall case and the release of IRS Revenue Procedure 2014-12, he has worked with clients to develop new transaction structures to address the altered legal landscape and has assisted clients in evaluating how industry changes and IRS positions impact existing investments.

Low Income Housing Tax Credit Transactions

Furthermore, Mr. Hickey has counseled syndicators and equity investors in connection with direct and portfolio investments for the development and financing of highly complex affordable housing developments. He has also worked extensively on loans and syndications with multi-tiered debt and equity structures, including mixed finance, the HOME Investment Partnerships Program, the Community Development Block Grant (CDBG) Program, Section 8, and tax-exempt and taxable bond financings. Mr. Hickey has represented several major national syndicators of affordable housing and other real estate projects. In recent years, his practice has focused on fund formation and assisting both syndicators raising equity and institutional investors investing equity in low-income housing tax credit transactions. 

Distressed Tax Credit Investments

In addition to structuring and closing transactions, Mr. Hickey has represented syndicators and direct investors on all aspects of tax credit investment portfolio management with an emphasis on troubled assets. Drawing upon practical experience and substantial subject matter knowledge, he has developed creative responses to distressed real estate projects and tax credit investments to maximize success.

Portfolio Asset Management

The scope of Mr. Hickey's practice also includes representation of clients in connection with a wide variety of portfolio asset management issues, dispute resolution, contract interpretation and pre-litigation enforcement, property manager and general partner removals, refinancing, loan workout agreements, and other workout strategies as well as negotiations with lenders in connection with foreclosure actions.

Prior to entering the practice of law, Mr. Hickey gained significant experience as a civil and environmental engineer. His engineering project experience involves both private sector environmental consulting and public sector work with the Rhode Island Department of Environmental Management. Mr. Hickey was previously an environmental engineer for a Rhode Island-based consulting firm from 1992 to 1993 and was an engineer for the Rhode Island Department of Environmental Management from 1993 to 1996.
