Overview

Faisal Kraziem is a finance attorney in Holland & Knight's Miami office and a member of the firm's Financial Services Team. Mr. Kraziem regularly represents financial institutions, banks, borrowers and other entities in complex domestic and cross-border lending transactions across all industries. He has experience in sponsor-led acquisition financings, cash flow-based facilities, asset-based facilities, shareholder loans and other similar financing matters.

Prior to joining Holland & Knight, Mr. Kraziem was a member of the bank-finance group of a large international law firm where he represented premier financial institutions as agent and lead arranger in complex lending transactions in the broadly syndicated loan market.

Mr. Kraziem is experienced with handling a breadth of matters, including:

  • Represented a major European bank as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with a $300 million senior secured term loan facility and a $70 million senior secured revolving credit facility
  • Represented a hedge fund and an alternative asset manager as lenders in connection with an unsecured $100 million subordinated delayed draw term loan facility
  • Represented a major international financial services firm as joint lead arranger and joint bookrunner and as administrative agent and collateral agent in connection with a $300 million senior secured term loan facility and a $100 million senior secured revolving credit facility
  • Represented a major European bank's New York branch in connection with a $100 million increase to a revolving credit facility under an existing credit agreement
  • Represented a major financial services firm as joint lead arranger and joint bookrunner as well as a major European bank as administrative agent and collateral agent in connection with a $375 million senior secured term loan facility and a $50 million asset-based revolving credit facility
  • Represented a U.S. multinational investment bank as joint lead arranger, joint bookrunner, administrative agent and collateral agent in connection with a broadly syndicated $505 million first-lien term loan facility, a broadly syndicated $120 million second-lien term loan facility and a $60 million revolving credit facility
  • Represented a U.S. multinational investment bank as joint lead arranger and joint bookrunner in connection with a broadly syndicated $315.0 million first-lien term loan facility, a bought $100 million second-lien term loan facility and a $30 million revolving credit facility.
  • Represented a major U.S. financial services firm as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with a broadly syndicated $155 million first-lien term loan facility, a $70 million second-lien term loan facility and a $15 million revolving credit facility
  • Represented a major U.S. financial services firm as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with a syndicated $375 million senior secured term loan facility and a $25 million revolving credit facility
  • Represented a major U.S. financial services firm as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with a $215 million term loan facility and a $20 million revolving credit facility
  • Represented a major U.S. financial services firm as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with a refinancing and repricing of a broadly syndicated $181 million term loan facility and a $40 million revolving credit facility
  • Represented a major U.S. financial services firm as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with a $72.5 million term loan facility and a $10 million revolving credit facility
  • Represented a syndicate of banks with respect to a $200 million senior secured, priming super priority facility in connection with a debtor in possession financing
  • Represented a U.S. multinational investment bank and a syndicate of lenders with respect to 760 million euro term loan facility, US$575 million term loan facility and a 160 million euro revolving credit facility in connection with the go-private acquisition of a publicly traded New Zealand company
  • Represented a major U.S. financial services firm as administrative agent, collateral agent, joint lead arranger and joint bookrunner in connection with a $325 million term loan facility and a $40 million revolving credit facility in connection with a leveraged acquisition
  • Represented the administrative agent, collateral agent and issuing bank in connection with a $25 million term loan facility and a $15 million revolving credit facility
  • Represented the administrative agent, collateral agent and issuing bank in connection with a $32.5 million term loan facility and a $5 million revolving credit facility for a Florida provider service network (PSN)
  • Represented the administrative agent, collateral agent and issuing bank and as syndication agent in connection with a $28.5 million term loan facility and a $25 million uncommitted guidance facility for a national airport concessionaire
  • Represented a Major League Soccer (MLS) team in connection with a $50 million working capital facility
  • Represented the administrative agent and joint lead arranger in connection with a $48 million term loan facility, a $6 million revolving credit facility and an $18 million delayed draw term loan facility in connection with an acquisition financing
  • Represented an administrative agent and first-out lender in a $95 million syndicated, unitranche loan facility provided for the acquisition of a company that provides reinsurance and specialty insurance services
  • Represented an administrative agent and first-out lender in a $200 million unitranche loan facility
  • Represented an administrative agent and last-out lender in a $36 million unitranche loan facility
  • Represented an administrative agent, sole lead arranger and bookrunner in a $100 million unsecured facility to a financial institution in Peru
  • Represented a lender and issuing bank in connection with a $20 million asset-based loan to a tile distributor
  • Represented an administrative agent in connection with a $75 million asset-based loan
  • Represented a global supply chain management and logistics company in connection with a $35 million asset-based loan
  • Represented an administrative agent in connection with a $60 million asset-based "lite" loan to a group of nonprofit companies
