Overview

Paul Libretta is a financial services attorney in Holland & Knight's New York office, where he focuses his practice on structured finance, securitizations and asset-based lending transactions.

Mr. Libretta represents issuers, investors, borrowers, lenders, sellers, buyers, hedge funds, private credit funds and other financial institutions regarding various asset classes, including credit accounts, marketplace loans, auto loans, mortgages and mortgage servicing rights (MSRs), student loans and life settlements. He also has experience advising on financial technology (FinTech) matters, including hardware and software technology licensing and maintenance agreements.

In addition, Mr. Libretta advises on banking, securities and consumer finance regulatory and compliance matters. He has experience with the International Banking Act, Bank Holding Company Act (BHC Act), Gramm-Leach-Bliley Act, Dodd-Frank Wall Street Reform and Consumer Protection Act, and New York state banking laws, as well as regulations of the U.S. Securities and Exchange Commission (SEC), Commodity Futures Trading Commission (CFTC), Financial Industry Regulatory Authority (FINRA) and National Futures Association (NFA).

Prior to joining Holland & Knight, Mr. Libretta was an attorney at another international law firm in its New York office.

Previously, Mr. Libretta served as chief legal officer for a leading online private credit marketplace, where he was responsible for all transactions, including corporate governance, compliance, shareholders, noteholders, employment law, litigation management, third-party and software as a service (SaaS) contracts, and general legal matters. He also served as the U.S. head of legal and compliance for an international commercial bank headquartered in Canada, where he led legal, regulatory and compliance matters for all U.S. operations and advised foreign headquarters on U.S. banking, securities and consumer finance regulations. Prior to that, Mr. Libretta was the General Counsel for a consumer receivables investment firm and asset manager.

While in law school, Mr. Libretta was a member of the Brooklyn Journal of International Law.
