Overview

Adam Matherly is a corporate attorney in Holland & Knight's Seattle office. Mr. Matherly focuses primarily on transactional business and finance matters.

Mr. Matherly offers emerging companies and venture capital clients a full view of the market by representing issuers, angel investors and sponsors in connection with private securities offerings, including equity, debt and convertible securities offerings. He regularly serves as outside general counsel for emerging companies, assisting with initial business structuring and organization, equity incentive plans, corporate governance, commercial agreements, reorganizations and mergers and acquisitions (M&A).

Beyond his transactional practice, Mr. Matherly also counsels clients on wide range of intellectual property (IP) matters, including with respect to trademarks, copyrights, patents and other related matters, including licensing and technology transfer transactions. His clients appreciate his ability to leverage this experience to lead IP due diligence efforts, including the evaluation of IP portfolios and technology agreements and negotiation of IP terms.

Prior to joining Holland & Knight, Mr. Matherly was an attorney at a Seattle-based law firm, where he led its Emerging Company & Venture Capital practice. Before that, Mr. Matherly managed his own law firm, where he served as outside general counsel for high-technology companies and concurrently managed the daily operations of a client aerospace tooling company as its vice president and chief operating officer (COO).

  • Represented a biotechnology company in multiple preferred stock and convertible securities offering transactions resulting in proceeds in excess of $100 million
  • Represented a software as a service (SAAS) provider in its $57 million Series B offering and related $32 million secondary stock sales transactions
  • Represented a venture capital (VC) fund as lead investor in connection with 10-plus preferred stock and convertible securities offerings
  • Represented a payment processing software company in its $60 million acquisition by a private equity firm
  • Represented a remote monitoring and management (RMM)/professional services automation (PSA) platform provider in its $50 million acquisition by a private equity firm
