Overview
Glafira Mercado is a real estate attorney in Holland & Knight's Monterrey office, where she focuses her practice on sales, acquisitions, dispositions, joint ventures, leases, development and construction. Her practice includes real estate transactions for multifamily and office buildings, retail properties, industrial parks and mixed-use developments.
Ms. Mercado counsels domestic and cross-border parties, owners, developers, investors and tenants on commercial leasing, and purchasers in the acquisition and disposition of properties.
In addition, Ms. Mercado's practice encompasses every aspect of the real estate industry, including real estate due diligence, negotiating and drafting real estate purchase agreements for the acquisition of land or property, negotiating and drafting real estate lease agreements, the design and negotiation of construction agreements for real estate development and property asset management agreements. Ms. Mercado has extensive experience representing owners and investors on structuring real estate investment trusts (REITs). She also has experience with the coordination to obtain building permits and operating licenses with municipal, state and federal governmental authorities, as well as representation and guidance on energy and water feasibility certifications and natural resources.
Ms. Mercado's experience includes representing clients in corporate matters and advising on the structuring of corporate entities, formation documents, joint ventures and day-to-day operations.
In addition, Ms. Mercado has a significant background in private equity investment vehicles that invest in real estate projects in Mexico and the U.S.
Prior to joining Holland & Knight, Ms. Mercado served as in-house counsel for a leading Mexican real estate company that provided services to an affiliated U.S. real estate private equity investment management company.
Representative Experience
- Advised Grupo Delta, a real estate developer, in the development and day-to-day operations of a mixed-use master plan in Santa Catarina, Nuevo León, which included multifamily buildings, retail spaces, offices, and shopping center, including the leasing of spaces and sale of some units
- Advised Ddelta REI, a private equity investment program manager, in the structuring of Mexican vehicles for capital raising in Mexico to invest in real estate projects in the United States
- Advised a Chinese leader on hotmelt adhesives industry sector in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of industrial property to establish their plant in Nuevo León, México, as well as overseeing all environmental and urban development permits and licenses for the construction of their plant
- Advised a Chinese world-class manufacturer of engine cooling systems for off-highway and on-highway vehicles manufacturer sector in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of an industrial property to establish their plant in Coahuila, México
- Advised a Chinese world's leading artificial grass manufacturer in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of an industrial property to establish their plant in Nuevo León, México
- Advised a Chinese leader in one-stop lighting and solar, and clean energy manufacturer in the establishment of its operations in Mexico, including the legal and environmental due diligence and the lease of an industrial property to establish their operations in Coahuila, México
- Advised one of the larger and professional Chinese manufacturers of agriculture and forestry products in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of an industrial property to establish their plant in Coahuila, México
- Represented a German chemical specialist company that offers innovative products and services in a broad range of sustainable solutions in the audit of its urban and environmental permits to protect it from a possible change to the Municipal Urban Development Program of Santa Catarina, Nuevo Leon
- Advised a Chinese company dedicated to marketing and distribution in the auto parts industry sector in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of an industrial property to establish their plant in Nuevo León, México
- Advised a Japanese comprehensive manufacturer based on foaming technology in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of an industrial property to establish their plant in Coahuila, México
- Advised a Chinese leading manufacturer of innovative outdoor power products in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of an industrial property to establish their plant in Nuevo León, México
- Representation of one of the largest tortilla manufacturers in America to install their facilities in Nuevo León México by advising them on the real estate lease agreement and obtaining its urban permits to establish their operations
- Advised a Chinese leading manufacturer of innovative outdoor power products in the establishment of its operations in Mexico, including the legal and environmental due diligence and the purchase of an industrial property to establish their plant in Nuevo León, México
- Advised a Peruvian company dedicated to the commercialization of technology and electronic devices on the leasing of multiple retail real estate properties as a part of their expansion plans in Mexico
- Represented an owner and provided advice on the day-to-day legal operation of Tres Vidas Boutique Hotel located in Acapulco de Juárez, Gro, Mexico
