Bruce Wayne Merwin

Bruce Merwin has more than 40 years of experience working on all types of complex real estate transactions, with a particular emphasis in construction-related transactions, office building, apartment and condominium development, industrial projects, leasing, land development projects, and the purchase and sale of unimproved and improved property. He has experience with drafting many different types of construction-related documents (using virtually all major industry forms and manuscript agreements), including crane easements and temporary airspace use agreements.

Mr. Merwin also has substantial experience in working with developers and owners of multifamily projects, industrial and manufacturing facilities (with private rail facilities), mixed-use projects, and assisted living centers, including Alzheimer's facilities. Mr. Merwin is Board Certified in Commercial Real Estate Law by the Texas Board of Legal Specialization. Mr. Merwin is the only attorney in Texas to be listed in both Real Estate Law and Construction Law in the 2019 edition of The Best Lawyers in America by Woodward/White Inc.

Representative Experience

• Represent owners and developers in drafting and negotiating more than 150 architect's and consultant agreements, construction management and general construction contracts annually, including multifamily projects, industrial projects, medical buildings, shopping centers, and office building projects, including LEED projects
• Represented multiple developers and company owners in 100,000- to 500,000-square-foot industrial/manufacturing processing facilities designed to produce medical products and a variety of chemical and nonchemical products, including architectural, engineering and construction contracts, and equipment supply agreements
• Represent developers and numerous major tenants in leasing and build-out of multiple floors of office buildings and build-to-suit office/warehouse facilities, including tenant work letters
• Represent borrowers in all types of real estate financing, including CMBS loans
• Represent owners in the acquisition of land and subsequent design and construction of industrial and manufacturing projects
• Represent portfolio sellers of apartment complexes (with defeasance requirements)
• Represent developers of office, hotel, residential and retail condominiums
• Represent equity investors and developers entering into joint ventures for the development of all types of commercial and industrial projects
• Represented a major tenant at the recently opened Hudson Yards project in New York City
• Represented the real estate affiliate of a major life insurance company investing in more than 50 development transactions in the United States with respect to design and construction contracts and related loan document provisions
• Represented architects in negotiating and drafting agreements with respect to the Houston football/rodeo stadium complex and the Houston basketball arena and related parking garage
• Represented a land development lender on more than 600 loans and sales of participation interests
