Overview

Humberto Morales is a corporate attorney in Holland & Knight's Monterrey office. With more than 25 years of experience, Mr. Morales advises local and multinational companies on all aspects of corporate law, corporate governance and compliance.

Mr. Morales focuses his practice on corporate governance, regulatory compliance and corporate matters. He advices national and foreign companies in the automotive, energy, infrastructure, medical devices and pharmaceutical industries in their corporate, corporate governance and regulatory compliance requirements, working closely with their labor teams in large infrastructure projects.

In addition, Mr. Morales advises clients on high-profile internal investigations generally involving multi-jurisdiction cases. He also advises companies in the design and implementation of corporate compliance programs and money laundering prevention cases. In addition, because of the nature of the large infrastructure projects in Mexico and in the context of the applicable anticorruption laws, Mr. Morales has been involved in the implementation of compliant legal structures and critical checkpoints.

Prior to joining Holland & Knight, Mr. Morales was an attorney at a leading Mexican law firm in its Monterrey office.

Previously, Mr. Morales worked at a global electric company for more than a decade, most recently as its general counsel for Mexico, Central America and Caribbean, where he led a team in the industrial, financial and entertainment sectors. In addition, he led legal strategies in the tax, labor and corporate areas and led the design and implementation of the corporate governance and regulatory compliance infrastructure in Mexico, also acting as lead ombudsman in major cases.

Mr. Morales also has public sector experience, having worked as general counsel for the Urban Development and Housing Committee at the Senate of the United Mexican States.

Representative Experience

  • Represented a multinational automotive corporation on a multijurisdiction inquiry from the U.S. Department of Justice (DOJ) to follow up on a mergers and acquisitions (M&A) transaction
  • Represented a multinational industrial conglomerate on post-closing action items as instructed by the U.S. with regular follow up with an appointed monitor
  • Represented a multinational medical device corporation on an inquiry to unfold alleged corruption conduct in the Dominican Republic, Germany and Mexico
  • Represented a multinational conglomerate in a power infrastructure public bid, the largest in Mexico at the time, executing anti-corruption audits to comply with Mexican law

  • Represented a multinational infrastructure corporation on a compliance investigation of its subsidiaries in Mexico, which led to a corporate restructuring process of the entire company
  • Represented a multinational airspace company on its acquisition of a government-owned Mexican entity to set up an elite design engineer center in Mexico
  • Represented a multinational conglomerate in its acquisition of a Mexican information technology (IT) corporation and developed its corporate legal infrastructure to become a leading IT provider in Mexico

  • Represented a multinational pharmaceutical corporation auditing its sales and distribution infrastructure with a focus on third-party representatives in connection with government sales
  • Represented a multinational power generation corporation in establishing its ethical guidelines for engaging the Federal Electricity Commission (CFE) – a public utilities company – and the National Union of the Electrical Industry (SUTERM)

  • Developed a labor and social security protocol for an industrial, financial and entertainment multinational conglomerate that was applied to its 35 plants in Mexico and Latin America
  • Represented a multinational power generation conglomerate on its negotiations with Luz y Fuerza del Centro – the power generation utility provider at Valle de México – and its union, Sindicato Mexicano de Electricistas (SME), in connection with the setup of power generation plants at Valle de México
  • Represented a multinational power generation conglomerate on union negotiations with the Federal Electricity Commission (CFE) and its union SUTERM, resulting from a public bid, to perform a multiyear service to Mexico's nuclear power generation facilities
  • Represented a multinational power generation conglomerate on its union negotiations with SUTERM from a public bid for the civil engineering and set up of three power generation plants in Mexico
