Overview

Hamid R. Namazie is a financial services attorney in Holland & Knight's Los Angeles office. Mr. Namazie focuses his practice on providing counsel to lenders on syndicated and bilateral senior secured asset-based loans and cash flow loans as well as second-lien and subordinated loans, including acquisition financings, recapitalizations, refinancings and cross-border and multicurrency lending.

Mr. Namazie represents a wide range of clients, including banks, institutional lenders and commercial finance companies. His cross-border experience includes lending to borrowers in Canada and various countries in Europe, as well as Singapore, Hong Kong, Japan, Taiwan, Australia, New Zealand and Mexico. 

Mr. Namazie has particular experience in restructurings, workouts, debtor-in-possession (DIP) financings and exit financings, and routinely handles complex intercreditor issues. His experience crosses many industries, including consumer finance, solar energy, agriculture, retail, distribution, manufacturing, software as well as food and beverage.   

In addition to his legal practice, Mr. Namazie is the general counsel of the Southern California chapter of the Secured Finance Network (SFNet) and a frequent speaker at its events. He is also on the executive committee of the national SFNet and serves as the chair of its advocacy committee. 

Prior to joining Holland & Knight, Mr. Namazie was an attorney and managing partner for the Los Angeles office of a national law firm.

Representative Experience

  • Represented an agent bank in a $200 million secured credit facility to a developer of photovoltaic panel systems for commercial, military and residential applications
  • Represented an agent bank in an $880 million secured credit facility to a retailer of electronic consumer goods; the transaction included the negotiation of a complex intercreditor agreement with an institutional second-lien lender and securitization trustee
  • Represented an agent bank in a $1.5 billion secured credit facility to a distributor of toys and children's goods; the transaction included obtaining and perfecting liens in seven countries and a multitude of legal issues related to the international nature of the company
  • Represented an agent bank in a $160 million secured credit facility to a regional department store chain specializing in selling consumer products on installment sales contracts and store credit cards; also represented the agent bank in a $55 million secured credit facility to finance a private equity sponsor's acquisition of a developer of software used for training information technology (IT) professionals
  • Represented an agent bank in a $65 million senior secured asset-based credit facility extended to a leader in the designing, developing, manufacturing, marketing, selling and licensing of flash memory technology in connection with the company's exit from a Chapter 7 bankruptcy proceeding
  • Represented an agent bank in a $130 million secured credit facility to a regional used-car dealership network
  • Represented an agent bank in a $35 million secured credit facility to finance a private equity sponsor's acquisition of a developer of software used for management of an intellectual property (IP) portfolio
  • Represented an agent bank in a $65 million secured credit facility to North American subsidiaries of an international paper distribution conglomerate, which included cross-border tax and multicurrency issues, as well as the negotiation of an intercreditor agreement with various international lenders providing financing to the conglomerate
