Overview

Kevin J. Neveloff is a transactional attorney in Holland & Knight’s New York office, where he concentrates his practice in commercial real estate and finance law, including all aspects of real estate acquisition, disposition, financing, development, operations and leasing. Mr. Neveloff has also spent time serving as temporary on-site head of legal operations for a multinational investment management firm client as well as primary legal adviser for other firm clients, with an acute sensitivity to the ongoing needs of clients on a business level and recognition of the importance of integrating seamlessly with client contacts, legal and nonlegal alike.

Mr. Neveloff has represented property owners and developers of all sizes and scale, ranging from national real estate investment trust (REIT) clients to new entrants in the real estate market, and banks and other financial institutions in mortgage, mezzanine and revolving facility loans. In each instance, he is committed to identifying the client's specific needs, goals and institutional preferences while, at the same time, bringing his broad scale experience to bear in optimizing transaction structures and implementations.   

Mr. Neveloff is also actively involved with firm initiatives to advance the implementation of efficiency, increasing emerging legal technology into client service and transaction management.

Representative Experience

  • Represented a real estate investment trust (REIT) client in sale leaseback transactions with respect to dozens of properties, ranging from retail to sophisticated industrial, including instances of integrated construction draw facilities for leaseback tenants and third-party sale transactions
  • Directed and implemented the pre-transfer ownership restructuring with respect to the owner of the IAC Building and served as lead counsel on the $80 million sale of the IAC Building in New York City
  • Advised on the $218 million sale of property and development rights on the High Line elevated linear park in New York City
  • Served as lead attorney on the formation of a joint venture for the development of and related construction financing – which exceeded $300 million in the aggregate – for the Two Fulton Square project in the New York City borough of Queens, featuring two towers containing a collective 400 residential condominium units, 350,000 square feet of commercial space and a 240-key Renaissance hotel; further represented one partner in joint venture with respect to the acquisition of Renaissance hotel unit and subsequent financing with respect to the same
  • Assisted in the $367.5 million purchase of the U.S. Bank Tower in Los Angeles, then the tallest building west of the Mississippi River, together with a nearby garage and Maguire Gardens
  • Assisted in the $250 million purchase of the iconic Chelsea Hotel in New York City, which involved the formation of a joint venture with certain existing owners and construction financing for the redevelopment of the project into a hotel and residential condominiums
  • Assisted in the $230 million acquisition of the Baccarat Hotel in New York City, including negotiating post-acquisition financing
  • Represented a private family office client in management and restructuring of a 15-property portfolio, including the creation of a new joint venture platform for tax structuring and control mechanisms, all aspects of property ownership and lease administration and property disposition for more than 10 years
  • Structured and implemented more than $100 million in Section 1031 exchange transactions, utilizing a variety of investment vehicles and practices, including active participation in the evaluation of the underlying properties
  • Represented a financial institution in the creation and implementation of revolving loan facilities in the aggregate amount of $100 million, for the origination and purchase of fix-and-flip mortgage loans, secured by a combination of collateral assignments of mortgages, equity pledges and backstop guarantees
