Overview
Sarah Parker is a technology transactions attorney in Holland & Knight's Atlanta office. She focuses her practice on information technology and business processing outsourcing, complex cloud services – including software as a service (SaaS), infrastructure as a service (IaaS) and platform as a service (PaaS) – technology licensing and support, systems integration, managed network services, software licensing and support, co-location agreements, electronic commerce arrangements, and other similar commercial transactions.
Ms. Parker's deep knowledge and experience covers the entirety of the technology transaction life cycle from strategic planning, assisting with requests for proposal (RFPs), vendor selection, contract negotiation of the master agreement and core exhibits – including pricing metrics, service descriptions and service levels – and post-contract support and restructuring.
In addition, Ms. Parker regularly advises clients on matters involving artificial intelligence (AI), including in connection with drafting and negotiating agreements, preparing corporate AI use policies and providing general best practices advice.
Prior to joining Holland & Knight, Ms. Parker was a legal director at a publicly traded cybersecurity company headquartered in Atlanta, where she supported procurement and sales. Her experience on both the purchasing and sales sides of transactions allows her to more strategically negotiate contracts and efficiently resolve issues as they arise.
Prior to launching her legal career, Ms. Parker reported and produced for CNN's Political Unit in Washington, D.C. She covered Congress and the White House for CNN.com, including reporting on the Presidential election, as well as produced and edited "The Situation Room with Wolf Blitzer" podcast.
Outside the firm, Ms. Parker serves as an adjunct professor at Emory University School of Law where she teaches “Deal Skills”.
In the community, Ms. Parker is intimately involved in the animal rescue community in Atlanta. She rehabilitates and cares for dogs and cats on county euthanasia lists, with an emphasis on special needs and hospice animals. In addition, she is a strong advocate for community-based solutions to address the critical lack of accessible and affordable animal welfare services, resources and information for people and pets in underserved communities. Ms. Parker also provides pro bono legal assistance for a variety of animal rescue organizations, where she provides outside general counseling and prepares pet adoption agreements, pet foster agreements, veterinary agreements, volunteer agreements and corporate policies.

- Represented a global hospitality company in connection with the negotiation of an agreement to develop, host, maintain and operate a distributed global reservation system servicing more than 4,000 locations across the globe and processing more than $12 billion in transactions
- Represented a global provider of containers and logistics solutions in connection with the negotiation of an agreement with Tata Consultancy Services (TCS) to outsource the administration, management and operation of network services
- Represented a publicly traded healthcare information technology (IT) provider in connection with the negotiation of an agreement with Atos to outsource administration, management and operation of certain data centers, IT infrastructure and network services
- Represented a global provider of containers and logistics solutions in connection with the negotiation of an agreement with Ceridian to outsource payroll and benefits
- Represented a California-based electric vehicle manufacturer in connection with the negotiation of an agreement with a global bank for the financing of vehicles through the manufacturer's mobile app and website
- Represented a privately held retailer of sports and outdoors products in connection with the licensing, implementation and support of merchandise management system from Oracle and SAP
- Represented an insurance broker and management company in connection with the negotiation of agreements with SAP to license, install, host, manage and support an enterprise S/4 Hana software solution
- Represented a hospital system in connection with the licensing, implementation and support of an enterprise resource platform for management of medical records from Epic Systems
