Litigation attorneys Chelsea McCarthy and Todd Wozniak will participate in The ESOP Association's Employee Owned 2024 conference. This hybrid event, hosted in Las Vegas and attended by thousands of thought leaders, employee owners and professional advisers, will feature presentations, networking opportunities and learning tracks for the employee stock ownership plan (ESOP) community.
Ms. McCarthy's session will take place on the second day of the event and will address litigation risks for ESOP board members and companies looking to implement an ESOP. She will cover strategies for mitigating those risks as well as explain how to identify and minimize conflicts of interest within a board of directors, including drawing attention to situations that present heightened exposure.
Mr. Wozniak's presentation will also take place on the second day of the event, when he will review state laws regarding boards of directors and Employee Retirement Income Security Act (ERISA) fiduciary duties. He will analyze current trends in ERISA litigation, such as current theories of liability being used by the U.S. Department of Labor and plaintiffs' bar against board members. In addition, he will help attendees understand strategies for minimizing liability throughout the life of an ESOP.
