Overview

Anne-Mette E. Andersen is a corporate attorney in Holland & Knight's New York office, where she practices in the areas of corporate law, mergers and acquisitions (M&A), international business transactions and startups. Her focus is on strategic purchases and sales in all sectors, including engineering, land surveying, architecture and landscape architecture firms.

International M&A, Financing and Securities

Ms. Andersen advises U.S. and foreign corporations, including Scandinavian companies, on a regular basis in strategic M&A, stock and asset sales, joint ventures, SPAC participants and other transactions. Her clients include businesses in the engineering, architecture, other licensed design professions, defense, software, renewable energy, oil and gas, technology, retail, manufacturing, service, aviation, shipping and rail sectors, among others.

Ms. Andersen also advises foreign bank clients on loan and financing agreements involving U.S.-based subsidiaries of foreign clients.

She has experience in public and private securities offerings and initial public offerings (IPOs), including simultaneous offerings in multiple countries and the U.S.

Professional Design Corporations: Regulatory and Licensing

Ms. Andersen has more than 20 years of experience in assisting venture capital funds and other clients in the professional engineering, land surveying, geology, landscape architecture and architecture businesses with equity-, asset- and master service agreement (MSA)-based sales and purchases. The targets have included professional entities, "grandfathered" entities and general corporate entities. She helps clients develop New York and nationwide compliance strategies for corporate ownership structure, firm licensing, registration requirements and management requirements for single profession businesses, as well as joint practices professions. She also works with clients on shareholder agreements, management services agreements and other contractual arrangements that are structured to meet state restrictions for businesses in these sectors.

Startup/Emerging Growth Companies and U.S. Market Entrants

Ms. Andersen represents U.S. and international entrepreneurs, startup/emerging growth companies and joint ventures (e.g., mobile apps, online games, technology and medical devices) in every stage of development, from formation through financing and closing. She provides ongoing operational counsel, as well as transaction-specific services, and has extensive experience in negotiating and drafting a wide variety of commercial contracts such as software, media and other intellectual property licenses, LLC/joint venture agreements, sales contracts, leases, and manufacturing, agency and distribution agreements.

Corporate and LLC Structuring

Ms. Andersen routinely advises clients on structuring complex corporate and limited liability company (LLC) structures involving corporations, LLCs and other corporate entities in the U.S. and other jurisdictions based on U.S. law (e.g., Marshall Islands and Liberia).

Prior Experience

Ms. Andersen has significant career experience from private practice in Denmark, where she practiced for more than four years with the law firm Reumert & Partners (now Kromann Reumert), primarily in the areas of general corporate law, M&A and insolvency law, but also in commercial and torts litigation and arbitration. While practicing in Denmark, Ms. Andersen represented, among others, U.S., Canadian and Danish corporations in transactions involving M&A and other corporate transactions in Denmark.

Prior to entering private practice, Ms. Andersen was a lawyer with the Danish Ministry of Justice.
