Overview
Emily Salomon Duncan is a healthcare regulatory and enforcement attorney in Holland & Knight's Nashville office, where she advises clients in the healthcare industry with strategic operations and transactions relating to state and federal regulatory compliance issues, including Stark Law and Anti-Kickback Statute analysis, healthcare licensing and certifications, state healthcare transaction notice requirements, the Emergency Medical Treatment and Labor Act (EMTALA), fee splitting and the Corporate Practice of Medicine. Ms. Duncan works extensively with hospitals and health systems, ambulatory surgery centers, physician practices, private equity healthcare investors and practice management companies covering a wide range of specialties, assisting with mergers, acquisitions, joint ventures and day-to-day business operations.
During law school, Ms. Duncan worked for the Office of Counsel to the Inspector General (OIG) at the U.S. Department of Health and Human Services (HHS), where she conducted federal health care exclusions, engaged in EMTALA penalty determinations and contributed to Corporate Integrity Agreements (CIAs) and self-disclosure protocols. She also served as a legal intern for the Centers for Medicare & Medicaid Services (CMS) in claims and appeals and as a judicial intern with the U.S. Court of Federal Claims, Office of Special Masters – Vaccine Division.

- Advised LifePoint Health in its sale of Mercy Regional Medical Center, Acadian Medical Center and Minden Medical Center in Louisiana
- Represented HCA in a joint venture development agreement for an academic medical center in Florida
- Represented USPI in the acquisition of Greensboro-based The Foot Surgery Center of North Carolina through a joint venture between USPI and Novant Health System
- Advised HCA in an acquisition of an ambulatory surgery center, continuing to grow its ASC network to more than 150 centers nationwide
- Represented USPI in the acquisition of an interest in multispecialty surgery center in New Jersey
- Represented HCA Healthcare in its acquisition of 21 urgent care centers in Florida
- Advised Camellia Healthcare, an operator of home health and hospice facilities, in its $78 million acquisition by Encompass Health
- Represented Direct Radiology in the sale of its teleradiology platform to Royal Philips
- Represented Vail-Summit Orthopaedics & Neurosurgery in its acquisition of Alpine Orthopaedics & Sports Medicine
- Advised Axia Women’s Health in its acquisition of multiple women’s health practices
- Counseled North American Partners in Anesthesia (NAPA) in its acquisition of American Anesthesiology, a MEDNAX Inc. medical group
- Assisted SightGrowthPartners in its acquisition of an ophthalmology and optometry practice
