Overview

Christopher G. Froelich is a business attorney in Holland & Knight's New York office. Mr. Froelich focuses his practice on mergers and acquisitions (M&A) and private equity, including public and private acquisitions, divestitures, joint ventures, carve-out transactions, recapitalizations, transactions involving distressed or bankrupt sellers and other general corporate matters. His clients include private equity funds and the portfolio companies they back as well as leading companies across the globe engaged in strategic M&A.

Mr. Froelich also represents insureds and underwriters in connection with transactional risk products, including the issuance of representations and warranties insurance (RWI) policies.

Prior to joining Holland & Knight, Mr. Froelich was an attorney at an international law firm in its New York office. He previously served as a law clerk to the Honorable Jaynee LaVecchia of the New Jersey Supreme Court as well as the Honorable Johann van der Westhuizen of the Constitutional Court of South Africa. During law school, Mr. Froelich served as an editor of the Seton Hall Law Review.

  • Represented Sunshine Life & Health Advisors, a Florida-based field marketing organization focused on healthcare insurance, and its majority shareholders, in its partnership with Alliant Insurance Services Inc., one of the nation's leading distributors of diversified insurance products and services
  • Represented Morrow Sodali, the leading global shareholder engagement and governance advisory firm, in its sale of a majority stake to TPG Growth, the growth equity platform of TPG (Nasdaq: TPG)
  • Represented MKH Capital Partners, a private equity firm, in its $390 million sale of Clean Streak Ventures LLC, one of the fastest growing express car wash platforms in the nation, to Mister Car Wash Inc. (NYSE: MCW), the nation's leading car wash brand
  • Represented Plaza Medical Centers, a patient-first focused primary care provider for Medicare Advantage patients, in its sale to ClareMedica Health Partners, a provider of value-based primary care services for Medicare Advantage patients and a portfolio company of Revelstoke Capital Partners
  • Represented Audax Private Equity and its portfolio company Fastener Distribution Holdings in the acquisition of Unical Defense LLC, a global provider of aftermarket component parts and logistics services for aircraft
  • Represented one of the largest transportation and logistics companies in Hawaii in the sale of substantially all of its assets
  • Represented a private equity-backed ophthalmology and ambulatory surgery center management services organization in its add-on acquisition of a Tennessee-based ophthalmology practice
  • Represented Dart Aerospace and Greenbriar Equity Group on its acquisitions of Paravion Technology Inc. and Century Helicopters Inc., companies engaged in the business of marketing, selling, supplying, distributing, assembling and repairing of aircraft accessories to the general aviation marketplace
  • Represented Inno-Pak, a leader in innovative, sustainable, high-quality food packing for the food service, grocery, convenience store and hospitality industries and a portfolio company of Emerald Lake Capital Management, in its 1) add-on acquisition of Finishing Services Inc., a company dedicated to serving the finishing needs of the folding carton and corrugated industries; and 2) as local U.S. counsel in its add-on acquisition of Albany Packaging, a Canada-based designer and manufacturer of custom and stock folding paperboard cartons, including bakery boxes and food packaging items
  • Represented LionLight Express Holdings LLC in connection with acquisition of eight car washes
  • Represented the founder and majority owner of KP Aviation LLC, one of the fastest growing and leading supplier of aftermarket aviation assets, in connection with an investment from Bain Capital Special Situations, a global team of investors who have driven value creation for more than 20 years
