Anthony Golding is an attorney in Holland & Knight's London office. Mr. Golding focuses his practice on corporate, finance and energy law.
Mr. Golding's experience includes negotiations, mergers and acquisitions (M&A), dispositions, private and public equity, debt finance, spin-offs and initial public offerings (IPOs) for major companies in a variety of industries. He also advises energy and insurance clients on employment contracts and termination, and counsels clients regarding United Kingdom (U.K.) aspects of international corporate restructuring.
Representative Experience
- Played a leading role in the restructuring and $1 billion disposal of a large U.K. independent oil and gas company's assets, handling and supervising the negotiations of assets
- Led legal team on a £1 billion transatlantic acquisition of an international asset management firm by one of the world's largest insurance and financial companies
- Advised on the U.K. implementation of a merger involving one of the world's leading energy commodities firms, including related tax and employment issues
- Implemented the $945 million IPO for an oil refining and marketing company's assets, completing the structuring and IPO within six months
- Drafted and negotiated international corporate and asset sales/purchases totaling £500 million for a substantial international oil and gas exploration and production (E&P) company
- Advised a large U.K. independent oil and gas company on its restructuring in preparation for its sale as well as various joint venture matters
- Advised and drafted documentation on tax planning and corporate restructuring, saving £120 million for a substantial international oil and gas E&P company
- Orchestrated a planned flotation of Australian subsidiaries on the Australian Stock Exchange
- Advised on an acquisition of stake in Britain's largest oil and gas explorer and on a standstill agreement with a major software developer as shareholder
- Negotiated the corporate acquisition of the assets of a leading global provider of integrated information solutions' for £358 million, and advised on an attendant £160 million rights issue and £150 million secured indenture
