Overview
Tadeo Martinez is a financial services attorney in Holland & Knight's Washington, D.C., office. Mr. Martinez focuses his practice on structured and corporate finance, financial products design, mergers and acquisitions, private equity, private debt and venture capital funds, development financial institutions (DFIs), resource mobilization, impact investing, restructuring, workouts and contract enforcement.
With more than 25 years of experience in transactional law and dispute resolution, Mr. Martinez has advised lenders and investors in more than 200 cross-border transactions, including debt, quasi-equity and equity products. In addition, he has in-depth knowledge and experience with the design and implementation of complex resource mobilization initiatives and financial products design. Mr. Martinez has also represented clients before local authorities and regulators regarding the introduction of new financial products into local markets and in connection with the privileges and immunities of international organizations.
Prior to joining Holland & Knight, Mr. Martinez served more than 18 years at the Inter-American Development Bank Group, the largest development financial institution focused on Latin America and the Caribbean, working as senior counsel for the Inter-American Development Bank (IDB) and the Multilateral Investment Fund (IDB Lab), and as lead counsel for the Inter-American Investment Corporation (IDB Invest), the private sector arm of the IDB Group. Based in Washington, D.C., Mr. Martinez provided legal advice on private sector operations, including loans, grants, guarantees, equity and quasi-equity investments, and the mobilization of third-party resources.
Representative Experience
- Advised a client in connection with the structuring, drafting and negotiation of multiple co-financing framework agreements among institutional investors, asset managers and various development financial institutions (DFIs)
- Advised a lender in connection with the drafting and negotiation of various unfunded risk protection mechanisms, and on the subsequent product implementation
- Advised an investor in the negotiation and subscription of a minority equity position in a telecom company; awarded the Social Infrastructure Deal of the Year by Latin Finance
- Advised a lender in connection with a convertible subordinated loan to a Peruvian financial institution
- Advised an investor in the acquisition of a minority stake position in a Brazilian digital freight broker
- Advised an investor in the structuring and negotiation of a minority equity investment in a Mexican private debt fund
- Advised a lender in a senior unsecured syndicated loan to a Brazilian commercial bank for the financing of a diversity driven portfolio
- Advised the lead lender in a senior secured syndicated loan to finance the operations of a private equity fund that provides equity and mezzanine debt for infrastructure projects
- Advised a lender in connection with a senior secured syndicated loan to a a Brazilian mortgage securitization vehicle in order to finance the acquisition and warehousing of mortgage portfolios for further securitization
- Advised a lender in a senior unsecured syndicated loan to a Brazilian development bank for on-lending to municipalities for the financing of public services infrastructure
- Advised a lender in connection with an unsecured subordinated syndicated loan to one of the largest commercial banks in Central America, structured to satisfy tier II capital requirements of the relevant regulation, and aimed at financing the expansion of the borrower's micro, small and medium enterprises' portfolio
