Overview
Michael Rebagliati is a corporate attorney in Holland & Knight's Seattle office. Mr. Rebagliati focuses his practice on transactional business and finance matters.
Mr. Rebagliati represents clients in the Pacific Northwest and beyond in acquisitions and dispositions across a wide variety of deal structures and industries. His work in mergers and acquisitions (M&A) involves drafting and negotiating transaction agreements, performing due diligence on acquisition targets, running diligence calls with representations and warranties insurance (RWI) carriers, preparing transaction disclosure schedules and advising clients on all other relevant aspects of the deal process. He frequently interacts with federal, state and local governments and regulatory agencies to facilitate permit transfers and approvals ahead of closing acquisitions.
Mr. Rebagliati also has extensive experience representing startup companies and assisting entrepreneurs in founding their businesses. His work for emerging companies includes preparing company formation documents and stock incentive plans, as well as handling various outside corporate counsel matters. Additionally, Mr. Rebagliati advises clients on various U.S. Small Business Administration (SBA) compliance matters and government lending programs.
Prior to joining Holland & Knight, Mr. Rebagliati was an attorney at a Seattle-based law firm. He also gained experience as an extern for the Honorable James P. Donohue at the U.S. District Court for the Western District of Washington, as well as a law clerk in the Revenue Unit within the Washington State Attorney General's Office.
Before law school, he worked as a private equity and venture capital fund analyst for a financial technology company.
