Overview

Paul Severin is a financial services attorney who has a national practice that focuses on commercial finance, general corporate, mergers and acquisitions (M&A), and securities matters. He is based in the firm's Los Angeles office.

A major portion of Mr. Severin's practice consists of the representation of financial institutions in secured and unsecured lending and finance transactions, including securities-based facilities, private equity fund finance transactions, such as co-investment facilities and other net asset value-based (NAV) credit facilities, capital call facilities and managing company fee secured facilities, derivatives, hedge fund transactions. He also advises with respect to bank securities credit regulatory matters and broker-dealer and other related regulatory matters related to margin loan transactions. Additionally, he has extensive experience handling M&A, private placements, venture capital transactions, joint ventures and general corporate representation of clients in a variety of day-to-day matters.

Mr. Severin's clients range from established and major multinational financial institutions and public companies to startup companies and individuals.

Prior to joining Holland & Knight, Mr. Severin was firm vice chair and co-chair of the Finance Department at an international law firm, based in its Los Angeles office.

Representative Experience

  • Represented an international financial institution in negotiation and establishment of numerous partner loan programs to private equity firms, secured by such partners' interests in various fund entities; program sizes range between $100 million and more than $1 billion
  • Represented a major financial institution in connection with $200 million revolving line of credit to management company of private equity firm, secured by management fees
  • Represented a financial institution in connection with $200 million capital call facility to private equity firm
  • Represented a major financial institution in connection with $150 million revolving credit facility, secured by operating partnership units in a real estate investment trust (REIT)
  • Represented multiple lenders in connection with term facilities and revolving credit facilities secured by fine art, with loan sizes ranging between $10 million and $150 million
  • Represented a lender in connection with a $150 million revolving credit facility secured by interests in several hedge funds
  • Represented a lender in connection with a $40 million acquisition term credit facility in connection with an acquisition of a private jet aircraft, secured by such aircraft
  • Represented a lender in connection with a $50 million unsecured credit facility to an operating company for working capital purposes
  • Represented a financial institution in connection with multiple derivatives transactions, including equity collars, prepaid forwards and interest rate swaps
  • Represented an international financial institution in evaluating and updating its compliance programs pertaining to Regulation U and Regulation T and the margin rules thereunder
  • Represented multiple financial institutions regarding applicability of eligible margin loan categorization to certain of their loan products for the purpose of assigning risk weighted capital treatment to such loan products

  • Represented a sponsor in connection with a private placement of securities to finance an equity investment in a joint venture pertaining to acquisition of multifamily property with an aggregate value of $50 million
  • Represented a technology company in connection with a $50 million joint venture pertaining to the development of solar power projects
  • Represented a seller in sale of professional services business, valued at $20 million
