Overview

Mike Timpone is an asset finance attorney in Holland & Knight's New York office and serves as co-chair of the Maritime Industry Team as well as head of the Transportation Finance Team. Mr. Timpone focuses his practice on the representation of lenders and borrowers in secured loans and other financings in the maritime industry. He also regularly advises on the formation of joint ventures, mergers and acquisitions (M&A), asset finance transactions, securities transactions and restructurings.

Mr. Timpone is a renowned maritime attorney who has dedicated his career to advising leading industry stakeholders on critical financings and transactions. His work has influenced significant trends that shape the current maritime sector.

As a leader in his field, Mr. Timpone has guided his clients, including banks and shipowners, through multiple economic cycles and industry consolidations. Several significant transactions that Mr. Timpone has executed have won industry honors, including the Lloyd's List Americas "Deal of the Year" Award and the Marine Money "Deal of the Year" Award each year since 2020.

Prior to joining Holland & Knight, Mr. Timpone was an attorney at a leading New York law firm, where he led its maritime and transportation practice.

Representative Experience

  • Represented a France-based financial institution as agent in connection with a $260 million senior secured term loan and revolving credit facility to a liquefied petroleum gas (LPG) shipping company
  • Represented one of the world's largest owner-operators within the mid-size dry bulk vessel segment in connection with its $485 million corporate facility; also represented the client in connection with its $175 million upsize and extension of its credit facility
  • Represented a shipping company in connection with a $122 million facility made available to a provider of global marine and support transportation services
  • Represented Norway's largest financial services institution in connection with a $325 million facility to a Houston-based publicly traded international petroleum service company
  • Represented Norway's largest financial services institution and a syndicate of lenders in connection with a $325 million senior secured term loan facility guaranteed by a Houston-based publicly traded international petroleum service company to partially finance the purchase price of 37 platform supply vessels
  • Represented Norway's largest financial services institution in connection with a $175 million multicurrency senior secured green term loan facility, revolving credit facility and letter of credit facility to a Monaco-based company specializing in offshore wind farm construction and services
  • Represented a premier ultra-deepwater drillship company in connection with a $550 million amended and restated senior secured credit facility from a Texas-based financial institution
  • Represented a vessel management company as it was acquired by a service company in the tanker industry
  • Represented a global operator of dry bulk vessels in connection with a $42.5 million revolving credit facility
  • Represented an international owner and operator of liquefied natural gas (LNG) carriers in a $480 million senior secured term Loan B facility
  • Advised a global shipping company on its acquisition of 34 dry bulk vessels from a shipping company specializing in the transport of dry bulk cargo
  • Advised on an LPG shipping company's acquisition of the very large gas carriers fleet of a tanker shipping company
  • Represented a shipping company in connection with a joint venture with a leading private markets asset management firm and a fund management firm for the maritime, energy-related and wider global transportation and infrastructure sectors; the joint venture acquired three handy-size refined product tankers
  • Represented the largest provider of mass-market fragrances in the U.S. and its shareholders and managers in connection with the sale of the company in a buyout sponsored by a private equity firm
  • Represented a private investment fund client as term loan lender and collateral agent in connection with a $28.5 million term loan and revolving credit facility to a frozen food manufacturer
