David Zavala

Overview
David Zavala is a corporate lawyer in Holland & Knight's Monterrey office. Mr. Zavala has more than 17 years of experience advising local and multinational clients in a variety of industries on legal, corporate and secretarial matters, including incorporation of Mexican legal entities, compliance with corporate registries, mergers and acquisitions (M&A), spinoffs, dissolutions and liquidations, transfer of shares and assets, real estate matters and contracts (civil, commercial and finance). His practice also involves negotiating incentives granted by Mexican state governments, designing corporate and business structures, advising on foreign investments, legal due diligence and industrial property, among other matters.
Prior to joining Holland & Knight, Mr. Zavala worked as a corporate attorney for leading Mexican law firms and was corporate counsel in the private sector, as well as for the Consulate of Mexico in Salt Lake City, Utah. Additionally, he was an associate to a Mexican notary public.
Mr. Zavala also has served as a business law professor at Universidad Tecmilenio in Monterrey, Mexico. In addition, he has earned certificates in various educational programs, including Contract Law from HarvardX, Harvard University's online program, Public-Private Associations for the Development of Infrastructure and Services from Instituto Tecnológico y de Estudios Superiores de Monterrey (ITESM) and the Inter-American Development Bank (IDB), and Intermediate Concepts in Drafting Contracts from the American Bar Association.
Representative Experience
- Advised multiple companies from various countries, including China, Taiwan, Canada, the U.S., India, Singapore and Brazil, among others, and industries (e.g., manufacturing, retail, technology, education, construction, energy, entertainment and others) in the establishment of their operations in Mexico and on the import, manufacturing, export and distribution of their products or rendering of services in Mexico and abroad
- Advised one of the largest furniture manufacturers on the negotiation of diverse loans with Mexican and foreign banks, including securities and collaterals
- Advised a multinational group in the healthcare industry for the obtention of incentives granted by Mexican state governments, for the establishment of their facilities
- Advised multiple entities of foreign nationality with the corporate secretarial compliance of their subsidiaries in Mexico
- Advised multiple foreign groups for their establishment in Mexico under the maquiladora regime
- Advised multiple entities in legal and environmental due diligence and the negotiation for the purchase or lease of industrial property, in compliance with their specific requirements, to establish their facilities in the Mexican states of Nuevo León, Coahuila, Tamaulipas and Sonora
