Overview
Adam J. August is a partner in Holland & Knight's Corporate, M&A and Securities Practice Group and is the Practice Group Leader for the Mid-Atlantic Region.
Mr. August counsels public and private company clients in a variety of industries, including information technology, government contracting (GovCon), distribution, software and professional services. He has been actively involved in more than 100 merger, acquisition and disposition transactions, representing both buyers and sellers of business enterprises, and more than 100 financing/investment transactions and securities offerings, representing both investors and issuers. He also has extensive experience in issues related to corporate governance, corporate reorganizations, employment and equity-based compensation matters, and other commercial transactions.
Representative M&A transactions include:
- represented Ambit Group LLC, a leading provider of data analytics, cybersecurity and mission support services to the U.S. Government, in its acquisition by Digital Management Holdings LLC (DMI), a portfolio company of OceanSound Partners
- represented management in a complicated tax-driven $15 million buyout of a government contractor
- represented a public company purchaser of a government contractor in a $12.5 million merger acquisition
- represented an acquiror of a software and hardware developer in an equity swap
- represented a public company purchaser of a government contractor and its subsidiaries in a $100 million stock acquisition
- represented the seller of a software company in a $8 million stock sale
- represented the seller of a manufacturing business in a $10 million asset sale and debt assumption
- represented the seller of a continuing care retirement community in the District of Columbia in a $10 million equity interests and assets disposition
- represented the seller of a medical transcription company with five classes of preferred stock to private equity purchaser in a $75 million merger sale
- represented the seller of a telecommunications equipment developer to a public company buyer in a $53 million stock sale
- represented non-US public company acquiror of a public company, intelligence community government contractor in a $1 billion tender offer
- represented a private acquiror of a public company government contractor in a $500 million market capitalization reverse triangular merger
Representative financing transactions include:
- represented the lead investor in a $12 million bridge loan with convertible notes and warrants
- represented an issuer in a $320 million high-yield debt (144A notes/warrants) offering
- represented an issuer in a $5 million private offering of LLC membership units and warrants
- represented an issuer in a debt conversion into a $3 million Series D Preferred Stock issuance
- represented an issuer in the $37 million Series A, $50 million Series B and $50 million Series C Preferred Stock private placement offerings
- represented the borrower and sub-lender in a $6 million line of credit that issued subsequent $1 million line of credit to joint venture
- represented a government contracts capital fund in the formation and closing of a $15 million private offering
- represented the equal partner in a complex tax-driven real estate $18 million joint venture, including multiple level LLC, partnership and corporation structure
- represented the developer/issuer in connection with a $6 million private placement for condominium development
As a law clerk for the Honorable Steven A. Felsenthal in the U.S. Bankruptcy Court in Dallas, Texas, Mr. August was responsible for corresponding with counsel, briefing pleadings for hearings and trials, researching issues of federal and state law, and drafting and editing legal opinions for publication.
