The Ins and Outs of D&O Indemnification Agreements

Corporate Services attorney Chauncey Lane joined the Woodruff Sawyer podcast to share his knowledge on indemnification agreements related to special purpose acquisition companies (SPACs). Mr. Lane explained how negotiating an indemnification agreement is a complex process, with lots of different moving parts, and one of the biggest issues is the scope of the indemnification. Mr. Lane discussed tips from the mergers and acquisitions (M&A) perspective. He stated that the indemnification agreement is only as good as the assets and the resources behind it and emphasized that having an understanding of the nature of the transaction and where the assets will be located is important. Mr. Lane added that it is essential to make sure the indemnification obligation is a part of any change of control.
